Business Expansion - Merger agreement between Thomson Digital (India) and Element LLC (USA).

Thomson Digital India and Element, LLC are pleased to announce a merger agreement
between the companies effective July 1, 2010. As a result of the agreement, Element will
function as a division of Thomson Digital in North America and facilitate marketing
activities and turnkey development services offered by the company immediately.
Thomson/Element will maintain its present headquarters in Orlando, Florida and the
company’s offices in Jersey City, New Jersey and Chicago, Illinois. Thomson Digital
presently operates a number of development facilities around the world with headquarters
in Delhi, India.
Ankoor Purie, Managing Director of Thomson Digital India, stated, “In merging Element
with Thomson Digital, the company realizes a strategic goal of expanding its presence in
the U.S. market, notably in education and publishing. The resulting capacity and
capability will allow the company to deliver premier, turnkey content and product
development solutions to the media, education, and publishing markets in North America
and around the globe.”
Vinay K. Singh, Executive Director of Thomson Digital India and Matthew Reynolds,
CEO of Element, in a joint statement, noted “our agreement delivers an exciting and
